Corporate Transactional Attorney

KeyStaff’s client, a well-established multi-service law firm with over 65 years of experience, is seeking a Senior Corporate Transactional Attorney to join their team in Palm Beach Gardens. This firm provides a wide range of legal services and is looking for a skilled attorney with 6 to 15 years of experience in Corporate and Business Transactions. Position Requirements: position is onsite/in-office in Palm Beach Gardens office • Extensive experience in corporate law, including partnerships, LLCs, private placement offerings, joint ventures, mergers and acquisitions, and asset purchases. • Strong drafting and negotiating skills for a variety of transactional documents, including operating agreements, shareholder agreements, partnership agreements, stock/asset purchase agreements, licensing agreements, employment agreements, and corporate governance documents. • Excellent research and analytical capabilities. • Familiarity with data privacy and cybersecurity issues, or experience with exempt organizations, corporate tax, or an LLM degree is preferred. Key Responsibilities: • Provide legal counsel on corporate law matters, mergers and acquisitions, joint ventures, and other business transactions. • Draft and negotiate transactional documents for a wide range of business needs. • Advise clients on corporate governance, regulatory compliance, and business strategy. • Mentor junior attorneys and legal staff, providing guidance and support as needed. Ideal Candidate: • Strong business judgment, legal acumen, and the ability to manage client relationships. • Excellent interpersonal and leadership skills. • A minimum of 6-15 years of experience specializing in Corporate and Business Transactions. • Licensed to practice law in Florida and a member of the Florida Bar in good standing.
